Hastings Pride Festival Vendor Agreement 2025


This Vendor Agreement ("Agreement") is entered into as of the date of execution by both parties ("Effective Date"), by and between IDEA Hastings ("Organizer") and the undersigned vendor ("Vendor").

Purpose: Organizer is hosting the Hastings Pride Festival on June 14th at Levee Park and desires to engage Vendor to operate a vendor booth at the festival to sell Products/Services or provide resources, education/information.

1.      Vendor Booth:

a.      • Location: Vendor shall be assigned a 10 x 10 booth space within the designated vendor area at the festival.

b.      • Setup: Vendor shall be responsible for setting up and maintaining their booth according to festival guidelines, including signage, displays, and product presentation.

c.      • Hours of Operation: Vendor shall operate their booth during the festival hours of 10:00 AM to 5:00 PM on June 14th, 2025. Setup will start at 8:00 AM day of and Vendors/Resource providers will be set up by the start of the event.


2.       Fees and Payment:

a.      • Booth Fee: Vendor shall pay a non-refundable booth fee of $95 to Organizer for Vendors and Food Trucks. Non-Profit Organizations and Resource / Community Organizations not selling items shall pay a non-refundable booth fee of $60.  This payment shall hold your spot for the event. Your spot will not be confirmed until you complete all of the required paperwork which will be provided once your payment has been accepted.

b.      • Payment Method: Payment shall be made online. If you would like to make payment via check, please email admin@ideaorganization.org for invoice. You will receive paperwork via email to complete and send it back to us no later than May 29th, 2025, to confirm your participation.

c.      You will not be allowed to participate in the event if you have not paid the nonrefundable fee AND completed the additional paperwork required by May 29th , 2025.

 

3.      Responsibilities of Vendor:

a.      • Compliance: Vendor shall comply with all applicable laws, regulations, and festival guidelines, including health and safety standards.

b.      • Insurance: Vendor shall maintain liability insurance coverage or IDEA can obtain coverage for them for an additional $10, naming Organizer as an additional insured.

c.      • Permits: Organizer will obtain all required permits through the city for Vendor.

d.      • Conduct: Vendor shall maintain a professional demeanor at all times and conduct business in a manner that aligns with the values of the Pride Festival.

 

4.      Responsibilities of Organizer:

a.      • Marketing: Organizer will promote the festival through various marketing channels, including listing Vendor on the festival website.

b.      • Site Support: Organizer will provide basic infrastructure support, trash receptacles within the vendor area, upon written request prior to the event.

 

5.      Indemnification: Each party shall indemnify and hold the other party harmless from any claims, damages, or liabilities arising from their respective negligence or breach of this Agreement.


6. Termination: Organizer may terminate this Agreement immediately if Vendor materially breaches any terms, fails to comply with festival guidelines, or engages in conduct that is detrimental to the festival’s reputation.

 

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the Effective Date.  By Signing this agreement, you agree to the above terms and conditions.
